Terms and Conditions

01 Service Provider Status

Azryno operates as an independent business and service provider. Nothing in this Agreement shall be interpreted as creating a partnership, joint venture, agency relationship, employment relationship, fiduciary relationship, or legal representation between Azryno and any Client.

02 Acceptance of Agreement

This Agreement becomes effective immediately upon:

• Verbal acceptance;
• Written acceptance;
• Electronic acceptance;
• Payment of any invoice;
• Submission of a project inquiry;
• Approval of a quotation or proposal; or
• Any action indicating intent to engage Azryno's services.

Such acceptance shall constitute a legally binding agreement between the parties.

03 Project Scope

All services shall be provided strictly according to the agreed project scope, quotation, proposal, or service package.

Any requests outside the agreed scope may be subject to additional fees and revised timelines.

Azryno reserves the right to determine whether a requested change falls outside the original scope.

04 UX/UI Approval and Finalization

The Client shall review and approve all designs, layouts, user interfaces, user experience elements, branding materials, content structures, and project deliverables during the development process.

Upon final approval, project completion, deployment, delivery, or launch:

• No redesigns, UX changes, UI changes, layout modifications, structural modifications, workflow changes, or major revisions shall be included.
• Any future modifications shall be treated as a new service and billed separately.
• Azryno shall have no obligation to perform additional revisions after final approval.

05 Additional Pages and Features

Any future addition of pages, sections, modules, integrations, functionalities, features, or enhancements may incur additional fees.

Pricing shall be determined based on complexity, development requirements, time investment, and technical considerations.

06 Payments

All invoices shall be payable according to the payment terms stated in the quotation, invoice, proposal, or service agreement.

Failure to make timely payment may result in:

• Suspension of services;
• Removal of support;
• Suspension of website access;
• Delayed project delivery;
• Termination of ongoing work.

The Client shall remain responsible for all outstanding fees, expenses, and charges.

07 No Refund Policy

All payments made to Azryno are final and non-refundable.

Upon commencement of work, reservation of resources, development activities, consultation services, project planning, design work, coding, deployment, or project completion, no refunds shall be issued.

In exceptional circumstances, Azryno may, at its sole discretion, consider a partial refund. Such consideration shall not create any obligation, precedent, or entitlement.

08 Failure to Provide Services

Where Azryno determines that it is unable to commence or deliver the agreed service due solely to internal operational reasons, a refund of any eligible amount may be processed within forty-eight (48) hours or earlier.

Upon issuance of such refund:

• The project shall be considered terminated;
• All licenses and permissions granted to the Client shall cease;
• Azryno reserves the right to decline future projects from the Client.

09 Monthly Fees and Support

Where services include maintenance, hosting, monitoring, support, subscriptions, or recurring services:

• Support shall only be provided while all recurring fees remain paid and current.
• Non-payment may result in immediate suspension of support services.
• Azryno shall not be liable for any losses arising from such suspension.

10 Domain Names and Transfers

Where Azryno registers, manages, acquires, or maintains a domain name on behalf of a Client:

• Domain ownership transfers shall not be processed within the first twelve (12) months from project commencement unless otherwise agreed in writing.
• Administrative control may remain with Azryno during this period.
• Transfer requests may be denied until all outstanding fees have been paid in full.

11 Custom Development and Intellectual Property

Azryno utilizes proprietary methods, custom development techniques, configurations, workflows, scripts, templates, systems, and coding structures.

Unless expressly agreed otherwise in writing:

• All underlying source code, frameworks, systems, methods, and development assets remain the intellectual property of Azryno.
• Clients receive a limited license to use the delivered product for its intended business purpose.
• Reselling, sublicensing, redistributing, reproducing, copying, reverse engineering, or commercially exploiting Azryno's proprietary code is strictly prohibited.
• Unauthorized use may result in immediate termination of services and legal remedies.

12 Prohibited Industries

Azryno reserves the right to reject, suspend, or terminate services involving:

• Adult content;
• Pornographic content;
• Escort services;
• Gambling services;
• Illegal products or activities;
• Drug-related activities;
• Narcotics;
• Alcohol-related businesses;
• Weapons-related businesses;
• Fraudulent schemes;
• Hate speech;
• Extremist content;
• Activities violating Sri Lankan law or applicable international law.

13 Client Content and Responsibility

Clients remain solely responsible for:

• All content published on their website;
• Regulatory compliance;
• Data protection obligations;
• Copyright compliance;
• Trademarks;
• User-generated content;
• Business operations conducted through their website.

Azryno shall not be responsible for any claims arising from Client content.

14 Data Collection Disclaimer

Unless specifically agreed otherwise, Azryno does not operate or maintain customer databases for Client website visitors.

Azryno does not guarantee storage, monitoring, retention, archiving, or management of user information submitted through Client websites.

The Client remains solely responsible for:

• Data collection practices;
• Compliance with privacy laws;
• Data protection;
• User consent management;
• Security of collected information.

15 Security and Cyber Incidents

Azryno may implement reasonable security measures and monitoring procedures.

However:

• No website, software, hosting environment, network, or digital service can be guaranteed to be completely secure.
• Azryno makes no warranty against cyberattacks, hacking attempts, malware, data breaches, service interruptions, or unauthorized access.
• In the event of a security incident, Azryno may undertake commercially reasonable efforts to mitigate risks and restore services where possible.

16 Warranties Disclaimer

All services are provided on an "AS IS" and "AS AVAILABLE" basis.

Azryno disclaims all warranties, whether express or implied, including but not limited to:

• Merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Continuous availability;
• Error-free performance.

17 Limitation of Liability

To the maximum extent permitted by law:

Azryno, its founder, owners, operators, contractors, employees, representatives, affiliates, and service providers shall not be liable for:

• Indirect damages;
• Consequential damages;
• Lost profits;
• Business interruption;
• Reputation loss;
• Data loss;
• Security incidents;
• Third-party claims;
• Hosting failures;
• Domain issues;
• Search engine rankings;
• Revenue loss.

Any liability of Azryno shall be limited to the total amount actually paid by the Client for the specific service giving rise to the claim.

18 Indemnification

The Client agrees to defend, indemnify, and hold harmless Azryno, its founder, owners, contractors, employees, agents, affiliates, and representatives from any claims, demands, actions, losses, liabilities, costs, expenses, or legal fees arising from:

• Client content;
• Website usage;
• Regulatory violations;
• Intellectual property disputes;
• Business activities conducted by the Client;
• Breach of this Agreement.

19 Dispute Resolution

Before initiating any legal proceeding, the parties shall attempt in good faith to resolve disputes through written negotiation.

The Client agrees to provide written notice of any dispute and allow at least thirty (30) days for resolution discussions before commencing legal action.

20 Termination

Either party may terminate ongoing services by providing not less than thirty (30) days' written notice.

Termination may be subject to:

• Outstanding fees;
• Work completed but not yet invoiced;
• Early termination fees;
• Non-cancellable expenses already incurred.

Termination shall not affect accrued rights or obligations.

21 Right to Refuse Service

Azryno reserves the unrestricted right to decline, suspend, discontinue, or terminate services to any person, business, organization, or project at its sole discretion.

22 Force Majeure

Azryno shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to:

• Natural disasters;
• Government actions;
• Internet outages;
• Cyber incidents;
• Power failures;
• Telecommunications disruptions;
• Civil unrest;
• Labor disputes.

23 Severability

If any provision of this Agreement is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.

24 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

25 Entire Agreement

This Agreement constitutes the complete understanding between the parties and supersedes all prior discussions, representations, negotiations, understandings, and agreements relating to the services provided by Azryno.
